This Proprietary Software License Agreement ("Agreement") is a legally binding contract between you or the entity you represent ("Licensee" or "you") and Lacspace Corporation Pvt. Ltd., a company registered in India and Nepal ("Licensor," "we," "us," or "our"). This Agreement governs your use of all Lacspace proprietary properties, including but not limited to software, source code, AI models, creative assets, and documentation ("Properties"). By accessing, downloading, or using our Properties, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you are expressly prohibited from using our Properties and must immediately cease all use.
All Properties are the exclusive and absolute intellectual property of Lacspace Corporation Pvt. Ltd., owned and controlled by us. This includes all source code, databases, algorithms, software architecture, designs, text, graphics, and trademarks ("Content"). Our Content is protected by copyright, trademark, trade secret, and other intellectual property laws of India, Nepal, and relevant international conventions. Under no circumstances is any of our proprietary software provided under an MIT, GPL, or any other open-source license. Our Properties are licensed, not sold. Any rights not expressly granted to you are reserved exclusively by Lacspace Corporation Pvt. Ltd.
Subject to your full compliance with this Agreement and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable commercial license to use the Properties strictly for your internal personal or business operations. This license is specific to the software, version, and term for which you have paid. Use of the Properties for any other purpose, including but not limited to resale, white-labeling, or building a competing service, is a material breach of this Agreement and will result in immediate legal action.
You agree that you will not, directly or indirectly, attempt to or allow any third party to:
Violation of these restrictions will result in immediate and irrevocable termination of your license and may subject you to severe civil and criminal penalties under applicable law.
Lacspace may offer certain services, such as a "Free Website," "Free Consultation," or trial versions of its software, at no initial cost. These offers are not governed by this License Agreement and are subject to our Terms of Use. These free services are provided "as-is" with significant limitations, may be terminated at our sole discretion at any time without notice, and do not grant you any license or rights to the underlying proprietary software. Upgrading to a paid, licensed plan is required to unlock custom domains, advanced features, and dedicated support.
This Agreement and your license are effective until terminated. Your rights will terminate automatically, immediately, and without notice from us if you fail to comply with any term of this Agreement. We also reserve the right to terminate your license for any reason, including non-payment or breach of terms. Upon termination, you must immediately cease all use of the Properties and destroy all copies, full or partial, in your possession or control.
THE PROPERTIES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LACSPACE CORPORATION PVT. LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROPERTIES WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR OPERATE WITHOUT INTERRUPTION.
IN NO EVENT SHALL LACSPACE CORPORATION PVT. LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PROPERTIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE INITIAL CLAIM.
This Agreement is governed by and construed in accordance with the laws of India and Nepal, without regard to their conflict of law principles. Any dispute, claim, or controversy arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India. You hereby consent to the personal jurisdiction and venue of these courts.
If you are accessing our Properties from outside India or Nepal, you are responsible for compliance with all local laws and regulations. You agree that the Properties will not be used in any country or in any manner prohibited by any applicable laws, restrictions, or regulations. Our services are subject to Indian and Nepalese export control laws and may be subject to export or import regulations in other countries.
